3.3 Client Responsibilities

As a client, you are responsible for:

Providing accurate, complete, and timely information
Designating qualified personnel to oversee the engagement
Implementing recommendations at your discretion
Paying for services as agreed

4. Intellectual Property

4.1 Our Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Quantivox Financial, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2 License to Use

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or internal business purposes. This license does not include the right to:

Modify or copy the materials
Use the materials for any commercial purpose or for any public display
Remove any copyright or other proprietary notations from the materials
Transfer the materials to another person or "mirror" the materials on any other server

4.3 Audit Deliverables

Audit reports, analyses, and other deliverables provided to you remain our intellectual property. You are granted a license to use these deliverables for your internal business purposes only.

5. Fees and Payment

Fees for our Services are as described on our website or as outlined in a separate engagement letter or service agreement. All fees are in Canadian dollars unless otherwise specified.

5.2 Payment Terms

Payment terms will be specified in the engagement letter or service agreement. Generally, we require a deposit before beginning work, with the balance due upon completion of services or according to an agreed-upon payment schedule.

5.3 Late Payments

Late payments may incur interest charges. We reserve the right to suspend services until outstanding payments are resolved.

We will maintain the confidentiality of all client information in accordance with professional standards and applicable laws. You agree to maintain the confidentiality of any proprietary information we share with you during the engagement.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, QUANTIVOX FINANCIAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
ANY CONTENT OBTAINED FROM THE SERVICES
UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

Our liability for any claims arising from our financial audit services will be limited as specified in the engagement letter or service agreement.

8. Indemnification

You agree to indemnify, defend, and hold harmless Quantivox Financial and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

9. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
